Agreement
By accessing or using the Vecturae Consultants platform ("Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform.
Services
Vecturae Consultants LLC provides enterprise strategy consulting, organizational assessments, and technology advisory services. Specific deliverables, timelines, and fees are governed by individual engagement agreements (Statements of Work).
Accounts
Access to the staff portal and client portal requires an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized use.
Intellectual Property
Our methodologies (including the Provect framework, assessment instruments, and scoring models), platform software, and brand assets are the intellectual property of Vecturae Consultants LLC. Client engagement deliverables are licensed to the client per the applicable SOW.
Confidentiality
Both parties agree to protect confidential information disclosed during an engagement. This obligation survives termination of the engagement for 3 years. Confidential information excludes publicly available information and independently developed materials.
Limitation of Liability
To the maximum extent permitted by law, Vecturae Consultants LLC is not liable for indirect, incidental, special, or consequential damages. Our total liability under any engagement shall not exceed the fees paid for that engagement in the preceding 12 months.
Platform Use
- Do not attempt to access accounts or data belonging to other organizations
- Do not reverse engineer, scrape, or interfere with the Platform
- Do not upload malicious content or use the Platform for unlawful purposes
- Survey respondents: responses are used solely for the assessment commissioned by the inviting organization
Termination
Either party may terminate an engagement per the terms of the applicable SOW. We may suspend or terminate platform access for violation of these Terms with reasonable notice (except for security emergencies).
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Disputes shall be resolved in the courts of Travis County, Texas.
Changes
We may update these Terms periodically. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated via email to active account holders.
